1. Acceptance of Terms
By accessing or using the SolaFlow document management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
SolaFlow provides an enterprise document management and automation platform that includes:
- Document Storage & Management: Secure cloud storage for documents with version control, metadata management, and folder organization.
- AI-Powered Processing: Optical Character Recognition (OCR), intelligent data extraction, and document classification.
- Workflow Automation: Visual pipeline designer for automating document processing, routing, and approval workflows.
- Collaboration Tools: Real-time document editing, sharing, commenting, and approval management.
- Search & Retrieval: Full-text search, metadata filtering, and AI-powered semantic search.
- API Access: RESTful APIs and webhooks for integration with third-party systems.
3. User Accounts
3.1 Account Registration
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to:
- Use a strong, unique password for your account
- Enable multi-factor authentication when available
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with unauthorized parties
3.3 User Roles & Permissions
The Service provides role-based access control with the following permission levels:
- Administrator: Full system access including user management, settings, and all content
- Full Control: Complete access to create, edit, delete, and manage documents and workflows
- Contribute: Ability to create and modify content within assigned areas
- Read-Only: View-only access to documents and reports
4. Acceptable Use Policy
You agree NOT to use the Service to:
- Upload, store, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Store documents containing malware, viruses, or malicious code
- Violate any applicable laws, regulations, or third-party rights
- Infringe upon intellectual property rights of others
- Attempt to gain unauthorized access to any part of the Service or its systems
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to access the Service without our express permission
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Resell, sublicense, or redistribute the Service without authorization
Important: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.
5. Data & Privacy
5.1 Your Data
You retain all rights to the documents and content you upload to the Service ("Your Data"). We do not claim any ownership over Your Data. You grant us a limited license to host, store, process, and transmit Your Data solely to provide the Service.
5.2 Data Processing
When you use our AI-powered features (OCR, data extraction, classification), your documents are processed by our systems. We:
- Process documents only to provide the requested functionality
- Do not use Your Data to train AI models without explicit consent
- Apply encryption to documents at rest and in transit
- Maintain audit logs of document access and modifications
5.3 Data Location
Your Data may be stored and processed in data centers located in the Middle East, Europe, or other regions as specified in your service agreement. For Enterprise customers, dedicated regional storage options are available.
5.4 Data Retention
We retain Your Data for as long as your account is active. Upon account termination, you may request export of Your Data within 30 days. After this period, Your Data will be permanently deleted from our systems within 90 days.
6. Subscription & Payment
6.1 Subscription Plans
The Service is offered under the following subscription plans:
- Starter ($4/user/month): Minimum 5 users, 10GB storage per user, basic features, ready workflow templates
- Business ($6/user/month): Minimum 10 users, 50GB storage per user, advanced AI and automation features
- Enterprise (Contact Us): Unlimited users, custom storage, dedicated support, self-hosted options
6.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with 30 days' prior notice.
6.3 Overdue Payments
If payment is not received within 15 days of the due date, we may suspend access to the Service. Access will be restored upon receipt of all outstanding payments.
7. Service Availability
7.1 Uptime Commitment
We strive to maintain 99.9% uptime for the Service. Scheduled maintenance will be communicated at least 48 hours in advance when possible.
7.2 Service Modifications
We may modify, update, or discontinue features of the Service at any time. Material changes will be communicated to users with reasonable advance notice.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its software, design, logos, and documentation, is owned by SolaFlow and protected by intellectual property laws. You may not copy, modify, or create derivative works based on our intellectual property.
8.2 Feedback
If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without restriction or compensation.
9. Third-Party Integrations
The Service may integrate with third-party applications and services. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLAFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amounts paid by you for the Service in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless SolaFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload or store using the Service
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting our support team. Upon termination, you will remain responsible for any outstanding fees.
12.2 Termination by Us
We may suspend or terminate your access to the Service immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay applicable fees
- Engage in fraudulent or illegal activity
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will provide a reasonable period (30 days) to export Your Data upon request.
13. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Negotiation: Good faith negotiations between the parties
- Mediation: If negotiation fails, through mediation by a mutually agreed mediator
- Arbitration: If mediation fails, through binding arbitration
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Lebanon, without regard to its conflict of law provisions. For customers in the UAE or Egypt, local consumer protection laws may apply.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
